1. Engagement Framework
Services provided by Optential Ventures are governed by a Master Services Agreement (MSA) or individual Statements of Work (SOW). These terms outline project scope, milestones, and payment schedules.
2. Intellectual Property (IP)
Upon full and final payment, all custom code, architectural designs, and digital assets produced specifically for the Client become the exclusive property of the Client. Optential Ventures retains rights to its pre-existing proprietary libraries and frameworks used in the process.
3. Professional Liability
We provide software engineering services with professional care. However, we are not liable for business interruptions or data losses resulting from the use of third-party cloud provider failures or external API outages.
4. Payment Terms
Payment terms are specified in individual SOWs. Standard terms require an advance payment before project commencement, with remaining payments tied to milestone completion.
5. Governing Law
These terms are governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in India.
